General Terms and Conditions of Sale

1. Scope of application

These General Terms and Conditions of Sale (“Terms”) apply to all sales of bicycles, framesets and related products (“Products”) by SWI Europe S.r.l., a single-member company wholly owned by Xence S.A., Lugano, Switzerland (“SWI”, “we”, “us”), to customers (“Customer”, “you”).

2. Custom manufacturing

All SWI Products are custom-manufactured to individual specifications. By placing an order, you acknowledge that:

Each frame is engineered specifically for your measurements and power output. Production begins only after receipt of a confirmed order and deposit payment. The manufacturing timeline is 12–16 weeks from order confirmation. Custom products cannot be returned or exchanged except for manufacturing defects.

3. Pricing and payment

All prices are quoted in Euros (€) and are exclusive of applicable taxes and shipping costs.

Deposit: 50% deposit required to initiate production. Balance: the remaining 50% is due before shipment. Payment methods: bank transfer, credit card (Visa, Mastercard, American Express) and PayPal. Financing is available through our partners for qualified buyers.

4. Order cancellation

Orders may be cancelled within 48 hours of order confirmation for a full refund. After 48 hours, once production has commenced, the deposit is non-refundable due to the custom nature of manufacturing.

5. Delivery and risk transfer

We ship worldwide via insured premium carriers. Risk of loss or damage transfers to you upon delivery.

Shipping costs are calculated based on destination and package weight. All shipments are fully insured for declared value. Import duties and taxes are the responsibility of the Customer. Delivery times vary by location, typically 3–7 business days after shipment.

6. Warranty

All SWI frames are covered by our frame warranty against manufacturing defects. Please see our Warranty page for complete terms and conditions.

7. Limitation of liability

SWI’s liability is limited to the purchase price of the Product. We are not liable for consequential, incidental or indirect damages arising from the use or inability to use our Products.

8. Intellectual property

All designs, specifications and proprietary technology remain the intellectual property of SWI Cycling. Customers may not reproduce, reverse engineer or commercialise any aspect of our proprietary designs.

9. Governing law and jurisdiction

These Terms are governed by Swiss law. Any disputes shall be resolved in the courts of Lugano, Switzerland, except where mandatory consumer protection laws require otherwise.
